Terms of Service

1. Acceptance of Terms

By accessing and using this website and our services, you accept and agree to be bound by the terms and provision of this agreement. If you do not agree to abide by the above, please do not use this service.

2. Services Description

CallSoft LLC provides professional software development and consulting services, including but not limited to:

  • Full-stack web and mobile application development
  • AI & intelligent systems integration
  • Cloud architecture and DevOps services
  • Legacy system modernization and maintenance
  • Technical consulting and code review

3. Client Responsibilities

As a client, you agree to:

  • Provide accurate and complete information
  • Respond to requests for information in a timely manner
  • Provide necessary access to systems and resources
  • Pay invoices according to agreed terms
  • Respect intellectual property rights
  • Maintain confidentiality of sensitive information

4. Intellectual Property

4.1 Client-Owned Work Product

Upon full payment, the client will own the custom software, applications, and deliverables specifically developed for their project, excluding any pre-existing CallSoft LLC intellectual property. This applies equally to code written by engineers directly and code produced with the assistance of AI tools.

4.2 CallSoft LLC Intellectual Property

CallSoft LLC retains ownership of all pre-existing intellectual property, methodologies, frameworks, and general knowledge used in the provision of services.

4.3 AI-Assisted Development

CallSoft LLC uses AI-assisted development tools as part of its engineering workflow. All AI-generated or AI-assisted code is reviewed, validated, and approved by experienced engineers before delivery. The use of AI tools does not alter the ownership terms described in sections 4.1 and 4.2.

5. Confidentiality & AI Data Privacy

Both parties agree to maintain strict confidentiality regarding proprietary information, trade secrets, and sensitive data disclosed during the course of the engagement. This obligation survives termination of the agreement.

When AI tools are used in client projects, CallSoft LLC offers the following data privacy options upon request:

  • Fully offline AI inference using locally-hosted models, ensuring client data never leaves the development environment
  • Cloud-based AI services operated under client-provided API keys, keeping data within the client's own account and data governance policies
  • Client proprietary code and data are never used to train or fine-tune any AI models

Specific AI data handling requirements are documented in individual project agreements.

6. Payment Terms

Payment terms will be specified in individual project agreements. Generally:

  • Invoices are due within 30 days of receipt
  • Late payments may incur interest charges
  • Work may be suspended for overdue accounts
  • Refunds are subject to project-specific terms

7. Warranties and Disclaimers

We warrant that our services will be performed in a professional manner consistent with industry standards. However, we make no warranties regarding:

  • Compatibility with all systems or platforms
  • Uninterrupted operation of delivered software
  • Achievement of specific business outcomes
  • Third-party integrations or dependencies

8. Limitation of Liability

In no event shall CallSoft LLC be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or business interruption, arising out of or relating to our services.

9. Termination

Either party may terminate the agreement with written notice as specified in the project agreement. Upon termination:

  • All outstanding invoices become immediately due
  • Client receives completed work product
  • Both parties return confidential information
  • Mutual obligations under confidentiality survive

10. Force Majeure

Neither party shall be liable for any failure to perform due to unforeseen circumstances or causes beyond their reasonable control, including natural disasters, government actions, or other acts of force majeure.

11. Governing Law

These terms shall be governed by and construed in accordance with the laws of the jurisdiction where CallSoft LLC is incorporated, without regard to its conflict of law provisions.

12. Dispute Resolution

Any disputes arising from these terms or our services shall first be addressed through good faith negotiation. If unresolved, disputes may be subject to binding arbitration or mediation as agreed by both parties.

13. Changes to Terms

We reserve the right to modify these terms at any time. Material changes will be communicated to active clients. Continued use of our services after changes constitutes acceptance of new terms.
